Terms: By accessing this web site, you are agreeing to
be bound by these Web Site Terms and Conditions of Use, including its
Privacy Policy, all applicable laws and regulations, and agree that you
are responsible for compliance with any applicable local laws. If you
do not agree with any of these terms, you are prohibited from using or
accessing this site. The materials contained in this web site are
protected by applicable copyright and trade mark law. The Web Site is
available only to individuals who are at least 13 years old.
Definitions:
publishingproscorp.com is owned and operated by Publishing Pros Corp.
("PPC") on the World Wide Web of the Internet. The focus of
publishingproscorp.com is to provide both free and fee-based Web
content of all types to those wishing top quality, unique and well
written content for their Web Sites. Advertising and/or additional
content may be provided by our affiliates and other third parties.
"Member " means each person who has been invited to join PPC and who
has registered and has the right to login. During the course of this
agreement we may refer to a member by such terms as "Author", "Subject
Matter Expert", "Content Provider" or "Contributor". “Visitor” means
any person who accesses our site. (Collectively, “you.”) "Client" means
someone who has used either the free of fee-based services of PPC.
Site Terms of Use Modifications:
Publishing Pros Corp. may revise these terms of use for its Web Site at
any time without notice. By using this Web Site you are agreeing to be
bound by the then current version of these Terms and Conditions of Use.
It is solely your obligation to have read the Agreement.
Disclaimer:
The materials on Publishing Pros Corp.'s Web Site are provided "as is".
Publishing Pros Corp. makes no warranties, expressed or implied, and
hereby disclaims and negates all other warranties, including without
limitation, implied warranties or conditions of merchantability,
fitness for a particular purpose, or non-infringement of intellectual
property or other violation of rights. Further, Publishing Pros Corp.
does not warrant or make any representations concerning the accuracy,
likely results, or reliability of the use of the materials on its
Internet web site or otherwise relating to such materials or on any
sites linked to this site.
Equipment: You are
responsible for obtaining and maintaining all telephone, computer
hardware and other equipment needed for access to and use of this site
and all charges related thereto.
Limitations:
In no event shall Publishing Pros Corp.or its suppliers be liable for
any damages (including, without limitation, damages for loss of data or
profit, or due to business interruption,) arising out of the use or
inability to use the materials on Publishing Pros Corp.'s Internet
site, even if Publishing Pros Corp. or a Publishing Pros Corp.
authorized representative has been notified orally or in writing of the
possibility of such damage. Because some jurisdictions do not allow
limitations on implied warranties, or limitations of liability for
consequential or incidental damages, these limitations may not apply to
you.
Links: Publishing Pros Corp. has not
reviewed all of the sites linked to its Internet Web Site and is not
responsible for the contents of any such linked site. The inclusion of
any link does not imply endorsement by Publishing Pros Corp. of the
site. Use of any such linked Web Site is at the user's own risk.
Responsibility of Contributors:
If you are a Member and post material to the Web Site, or otherwise
make (or allow any third party to make) material available by means of
the Web Site (any such material, “Content”), You are entirely
responsible for the content of, and any harm resulting from, that
Content. That is the case regardless of whether the Content in question
constitutes text, graphics, an audio file, or computer software. By
making Content available, you represent and warrant that:
- the
downloading, copying and use of the Content will not infringe the
proprietary rights, including but not limited to the copyright, patent,
trademark or trade secret rights, of any third party; - if your
employer has rights to intellectual property you create, you have
either (i) received permission from your employer to post or make
available the Content, including but not limited to any software, or
(ii) secured from your employer a waiver as to all rights in or to the
Content; - you have fully complied with any third-party licenses
relating to the Content, and have done all things necessary to
successfully pass through to end users any required terms; - the Content does not contain or install any viruses, worms, malware, Trojan horses or other harmful or destructive content;
- the
Content is not spam, is not machine- or randomly-generated, and does
not contain unethical or unwanted commercial content designed to drive
traffic to third party sites or boost the search engine rankings of
third party sites, or to further unlawful acts (such as phishing) or
mislead recipients as to the source of the material (such as spoofing); - the
Content is not libelous or defamatory, does not contain threats or
incite violence towards individuals or entities, and does not violate
the privacy or publicity rights of any third party; - you have,
in the case of Content that includes computer code, accurately

materials, whether requested to do so by Publishing Pros Corp. or
otherwise; - does not contain links that take the visitor to
another Web Site in the same browser window, including a Web Site that
you may own, without the express written consent of Publishing Pros
Corp. You may, however, include your own Web Site address in your
biography, as long as the link has been disabled. You may also
reference another Web Site in your article for the purpose of
substantiating a statement. The link to such Web Site must open in a
separate browser window.
By submitting Content to
Publishing Pros Corp. you grant a world-wide, royalty-free, and
non-exclusive license to reproduce, modify, adapt and publish the
Content for the purpose of displaying, distributing and promoting your
Content. You understand that any content you publish on Publishing Pros
Corp. may be used royalty-free by other Third Parties, provided that,
they adhere to the terms under "Royalty-Free Use." You also grant
Publishing Pros Corp. the right to place in context ads within the body
of your Content and to display ads which it deems appropriate. You will
share in the revenue, if any, generated by the placement of such ads as
described in "Payments to Authors." If you delete Content, Publishing
Pros Corp. will use reasonable efforts to remove it from the Website,
but you acknowledge that caching or references to the Content may not
be made immediately unavailable.
Without limiting any of those
representations or warranties, Publishing Pros Corp. has the right
(though not the obligation) to, in its sole discretion (i) refuse or
remove any content that, in its reasonable opinion, violates any
Publishing Pros Corp. policy or is in any way harmful or objectionable,
or (ii) terminate or deny access to and use of the Web Site to any
individual or entity for any reason, in Publishing Pros Corp.’s sole
discretion.
Visitor Questions: Publishing Pros
Corp. wants to make its Visitors, and potential Clients, feel as
welcome as possible and extend the curtesy of asking our Authors
questions pertinant to the material Authors post. Accordingly, we may
append a Question form to your Content. As the Author of the Content,
you will be required to answer such questions which Publishing Pros
Corp. deems necessary to answer. As it is likely that a number of
Visitors may have the same or similar questions, answers may be in a
general question and answer format. You understand that the answering
of questions and the quality of the answers may innur to your benefit
and increase your credibility and site traffic, although you understand
that there is no guarantee that such will be the case.
Payments to Authors:
Publishing Pros Corp. offers Free and Fee-based services to Visitors
and Clients. As an Author of Content, you will be reimbursed in the
following ways:
Free Content:
- 80%
of all revenue generated by advertisements on your article page,
whether these advertisements appear in blocks, in the articles or as in
context links, or by an amount that may be advertised from time to time
as a special promotion, whichever is the greater; - You will begin receiving payments for such ads when the revenue produced exceeds fifty United States dollars (US$50.00);
- In the event of a dispute, the records of Publishing Pros Corp. shall be considered final.
Fee-based Content
- Publishing
Pros Corp. offers Fee-based services which will be listed
on our Services page. PPC assumes the obligation of negotiating the fee
for any such service and reserves the right to pick an Author that it
feels is qualified to perform the service. The Author is free to accept
the assignment or not. - 90% of revenues in which you were
requested, either directly by a Client or indirectly through Publishing
Pros Corp., to write an article. - Payment for such service will be negotiated on a per project basis.
- Publishing
Pros Corp. assumes the obligation of collecting the agreed upon fee for
the assignment and guarantees your payment for same, provided that, the
Client is otherwise satisfied with the level of the work performed. - If
the Client is not satisfied with the quality of the work of the
assignment, you are obligated to perform such revisions as required as
long as they are in the scope of the project. In such event, Publishing
Pros Corp. will not invoice the Client for services rendered and you
will not be paid for the assignment until the Client is satisfied. If
you refuse to complete the assignment, another Author will be engaged
and your payment will be reduced accordingly. - If, in Publishing
Pros Corp.'s viewpoint, the Client request is outside the scope of the
Assignment, PPC will re-negotiate a new fee with the Client or invoice
the Client for the services already performed, at which point, the
Project will be determined to be ended.
The
Author recognizes that Publishing Pros Corp. may have undergone an
expense to promote or publicize the Author's work, whether individually
or in general, and for that and other good consideration, agrees not to
accept assignments directly from any of Publishing Pros Corp.'s Clients
or Visitors who may have seen or used your work via
publishingproscorp.com.
The Author agrees that he or she is
acting as an independent agent and is responsible for paying any and
all taxes or other encumbrances that may accrue as the result of
receiving revenue through Publishing Pros Corp. The Author is required
to provide, upon request, his or her tax ID or EIN number. Nothing in
this Agreement implies that an offer of employment has been made by
Publishing Pros Corp., it subsidiaries, successors or assigns.
Royalty-Free Use: Clients are free to use any Article published on publishingproscorp.com, provided that:
- The Author of the article is credited
- The
line: Source: <a href "http://www.publishingproscorp.com">
Publishing Pros Corp.</a> is displayed with the link intact. - Third-party advertising links are removed.
Severability:
If any part of this Agreement is held invalid or unenforceable, that
part will be construed to reflect the parties’ original intent, and the
remaining portions will remain in full force and effect. A waiver by
either party of any term or condition of this Agreement or any breach
thereof, in any one instance, will not waive such term or condition or
any subsequent breach thereof.
Governing Law:
Any claim relating to Publishing Pros Corp.'s web site shall be
governed by the laws of the State of Delaware, U.S.A. without regard to
its conflict of law provisions.
